Terms of Service

These Terms of Service govern your access to and use of Mosaic at mosaic5mil.com (the “Service”). By creating an account, affirmatively accepting these Terms, or continuing to use the Service after a required policy update, you agree to these Terms and the Marketplace Rules. You also acknowledge the Privacy Policy, Content & Acceptable Use Policy, Copyright Policy, and transaction-specific disclosures presented by Mosaic.

1. Eligibility and accounts

You must be at least 18 years old and legally capable of entering a binding contract. You must provide accurate information, keep your credentials secure, and promptly notify Mosaic of suspected unauthorized access. You are responsible for activity conducted through your account except to the extent applicable law provides otherwise.

2. What a Tile is — and is not

A Mosaic Tile is a contractual digital platform right recorded within Mosaic's systems. Subject to these Terms, Tile ownership may allow you to group Tiles into Areas, submit content, and participate in marketplace functionality. A Tile is not real property, a security, stock, bond, cryptocurrency, bank deposit, insured deposit, equity interest, intellectual-property ownership in Mosaic, or a promise of investment return.

3. No investment, valuation, liquidity, traffic, or resale guarantee

Mosaic does not offer Tiles as investments and does not promise appreciation, profit, liquidity, resale, future demand, recovery of any amount paid, website traffic, clicks, impressions, advertising performance, or continued display of any particular content. Acquisition history, minimum eligible offers, and bids are marketplace mechanics, not appraisals or representations of value.

4. Final purchases; no Mosaic buybacks

Except where Mosaic determines that a refund, reversal, or adjustment is appropriate under these Terms or applicable law requires otherwise, completed Tile purchases are final. Mosaic does not operate a redemption, repurchase, cash-out, or buyback program for owned Tiles. You cannot require Mosaic to buy, redeem, repurchase, or refund Tiles because you changed your mind, cannot resell them, dislike market conditions, or believe their value changed.

5. Resales

If resale functionality is available, owned Tiles may be transferred only through Mosaic's authorized marketplace process to an eligible buyer. Mosaic does not guarantee that another buyer will make or complete an offer. Under the current marketplace rules, a completed resale allocates 80% of the gross resale amount to the seller's Mosaic balance and 20% to Mosaic, before taxes, refunds, reversals, chargebacks, payment adjustments, or legally required deductions.

6. Purchases, offers, holds, and settlement

Selecting Tiles, receiving a quote, creating an offer, reserving wallet funds, opening checkout, or receiving a temporary checkout hold does not transfer ownership. Ownership changes only after Mosaic validates the transaction and records completed settlement in its authoritative records. The Marketplace Rules govern overlapping selections, checkout holds, equal and higher bids, Buy What I Can, All or Nothing, seller responses, Vacation Mode, and administrative review.

7. Authoritative records and corrections

Mosaic's database, settlement records, transaction records, and audit records control over screenshots, cached pages, browser displays, emails, or isolated payment-provider receipts. Mosaic may investigate and correct duplicated, stale, inconsistent, impossible, fraudulent, or obviously erroneous technical records and may pause settlement while doing so.

8. Mosaic balance and withdrawals

A Mosaic balance is an internal marketplace accounting balance and is not a bank account, insured deposit, investment account, or guaranteed stored-value product. Eligible balances may be used for supported purchases or requested for withdrawal through supported providers. Withdrawals may require identity, tax, banking, sanctions, fraud, or other verification and may be delayed, rejected, reversed, or offset when reasonably necessary for disputes, chargebacks, security, reconciliation, legal compliance, or provider requirements.

9. Payments, refunds, reversals, and chargebacks

Mosaic may cancel, reverse, refund, or reconcile a transaction when payment fails, a duplicate or unauthorized charge occurs, settlement cannot safely complete, ownership changes before settlement, fraud is suspected, a chargeback occurs, a technical defect causes an incorrect charge, a provider requires reversal, or applicable law requires a remedy. Users must not abuse payment disputes or chargebacks.

10. Taxes

Taxes may apply to purchases, resales, proceeds, withdrawals, or other activity. Where Mosaic is required to collect or account for a transaction tax, Mosaic may calculate that tax through its payment provider. Mosaic may choose to include an applicable tax within the displayed customer price rather than adding it on top of that price, where permitted.

Any tax amount is accounted for separately from Mosaic's Tile acquisition value and marketplace pricing rules. An included tax does not increase a Tile's recorded acquisition value, the minimum future offer for that Tile, seller proceeds, or Mosaic's 80/20 resale allocation. Users remain responsible for taxes and reporting obligations imposed directly on them that Mosaic is not required to collect, withhold, report, or remit.

11. User content and license

You represent that you have all rights and permissions needed for artwork, text, logos, trademarks, URLs, profile images, and other material you submit. You grant Mosaic a nonexclusive, worldwide, royalty-free license to host, store, reproduce, resize, transcode, display, and distribute that material as reasonably necessary to operate, secure, promote, and provide the Service.

12. Moderation; reports; content removal

Mosaic may reject, remove, hide, disable, or restrict content, profile images, accounts, or destination links that violate law, these Terms, the Content & Acceptable Use Policy, intellectual-property rights, safety requirements, or provider rules. Users may report content or users. Moderation is separate from Tile ownership; content removal does not automatically cancel Tile ownership, create a refund right, or require Mosaic to repurchase Tiles.

13. Prohibited conduct

You may not use multiple coordinated accounts, bots, collusion, sham transactions, self-dealing, stolen payment methods, fabricated disputes, artificial bidding, malicious automation, credential attacks, fraud, or other techniques to manipulate pricing, checkout priority, resale history, wallet balances, seller proceeds, account activity, moderation, or marketplace outcomes.

14. Third-party services and links

Mosaic relies on third-party providers for services such as hosting, databases, storage, email, security, monitoring, payments, payouts, and related infrastructure. Mosaic is not responsible for third-party websites reached through user-submitted links and does not endorse them merely because they appear on the Canvas.

15. Suspension and termination

Mosaic may restrict content, transactions, withdrawals, or account access, or suspend or terminate an account, when reasonably necessary to address violations, fraud, legal obligations, security concerns, payment disputes, provider requirements, or threats to Mosaic or others. Suspension or termination does not automatically create a Tile buyback or refund right.

16. Service changes and discontinuation

Mosaic may modify or discontinue interfaces, features, providers, security controls, or marketplace mechanics prospectively. Mosaic does not promise that the Service, Canvas, marketplace, or any feature will operate forever. If Mosaic winds down a material service, Mosaic will use commercially reasonable efforts to provide notice when practicable, subject to law, security, insolvency, emergencies, and provider constraints.

17. Electronic communications and policy updates

You consent to receive account, transaction, security, policy, and other service communications electronically where permitted by law. Mosaic may update these Terms prospectively. Material changes will be communicated as appropriate, and Mosaic may require renewed affirmative acceptance. Mosaic may retain the accepted policy versions and acceptance timestamps.

18. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOSAIC AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MOSAIC DISCLAIMS IMPLIED WARRANTIES TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MOSAIC DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR ANY PARTICULAR MARKETPLACE, TRAFFIC, CONTENT, OR RESALE RESULT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOSAIC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, OR LOSS OF GOODWILL ARISING FROM THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOSAIC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO MOSAIC DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. THESE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold Mosaic and its operators, affiliates, personnel, and service providers harmless from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from your content, your destination links, your violation of these Terms or law, your infringement of another person's rights, or your fraud or misuse of the Service.

21. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except to the extent another law must apply. Before filing a non-urgent claim, you agree to send a written description of the dispute to mosaic5mil@gmail.com and allow 30 days for an informal resolution attempt. Nothing in these Terms prevents either party from seeking emergency or injunctive relief where appropriate, using an available small-claims process, or exercising rights that cannot lawfully be waived.

22. General terms

If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain effective. Mosaic's failure to enforce a provision is not a waiver. You may not transfer your account or contractual rights except through functionality Mosaic expressly provides or with Mosaic's written consent. Mosaic may assign these Terms in connection with a merger, reorganization, financing, asset transfer, or change in control. These Terms and incorporated policies constitute the agreement concerning the Service except for transaction-specific terms expressly presented to you.
